THIS WEEK'S HIGHLIGHTS:


W&P Piling Pte Ltd vs Chew Yin What & others

  • W&P Piling Pte Ltd was in the business of mixed construction activities, roofing and piling works.
  • Court ordered W&P to be wound up because they were unable to meet their payment terms.
  • The first defendant, together with the second defendant and third defendant, took over the management of W&P and became the directors of the plaintiff.
  • The first and second defendants who were related by family relations, were directors of Wee Poh Construction Co Pte Ltd (Wee Poh), whereas the third defendant was just a norminee director of W&P.
  • Before the winding up, the plaintiff bought 5 machineries, of which, 4 were acquired through hire purchase.
  • The 5 machineries were sold to Wee Poh, which on-sold them to third parties.
  • No valuation was done before disposal; no tenders in determining a higher sale price were obtained.
  • The plaintiff did not receive any payments from the sales and relevant hire purchase documentation was also not shown to the board.
  • Despite comprehending that the plaintiff is insolvent, the defendants persist to allow the plaintiff to trade or incur losses by cancelling debts owed to the plaintiff by Wee Poh.
  • Directors breached their duties and were not acting in shareholders' interests.
